Preamble
These General Terms and Conditions of Sale (the “GTC”) govern sales concluded between:

(hereinafter the “Seller”)
and any individual or legal entity making a purchase on the Novera online store (hereinafter the “Customer”).
These GTC govern the conditions under which the Seller offers and sells its products to the Customer, exclusively through its online store.
By placing an order on the Site, the Customer acknowledges having read these GTC and accepts them without reservation.
Article 1 — Purpose and Scope
These General Terms and Conditions of Sale (GTC) define the respective rights and obligations of the Seller and the Customer in connection with the online sale of products offered on the Novera online store.
They apply to all orders placed on the Website, subject to any mandatory provisions more favorable to the consumer under applicable law.
The Novera online store currently sells only in Canada.
Article 2 — Seller Information
Before concluding a distance contract in Quebec, the merchant must, in particular, disclose their name, address, telephone number, a detailed description of the goods, and a detailed price. These GTC, together with the product pages, displayed prices, and store policies, are intended to fulfill this information requirement.

Article 3 — Products
The products offered for sale on the Site include travel and comfort products, such as :
- backpacks;
- shoulder bags;
- neck warmers;
- sleep masks;
- ear protectors.
Each product is presented on the Site, including its essential characteristics, price, and, where relevant, details regarding its use, dimensions, composition, or variations.
The Seller strives to describe and present the products as accurately as possible. However, slight differences may exist between the images displayed on the screen and the product actually delivered, particularly due to lighting, screen settings, photography, or reasonable manufacturing variations.
Photographs, visuals, and staged images are not contractually binding, without prejudice to the Customer's right to receive a product that conforms to its essential description.
Article 4 — Price
Product prices are indicated in the currency displayed on the Website at the time of purchase.
Unless otherwise stated, the prices displayed do not necessarily include:
- applicable taxes;
- delivery charges;
- or any other charges clearly indicated before final order confirmation.
The total price payable by the Customer is the price displayed at checkout, before final order confirmation.
The Seller reserves the right to change its prices at any time. However, the price charged to the Customer for a given order is the price displayed at the time the order is actually submitted.
Article 5 — Ordering and Contract Formation
The Customer selects the products they wish to purchase, adds them to their shopping cart, verifies the order details, provides the requested information, and then proceeds to payment using the chosen method.
The Customer agrees to provide accurate, complete, and up-to-date information when placing the order, particularly regarding their identity, delivery address, billing address, and contact information.
The order is considered accepted only upon its effective registration and the sending of an order confirmation or equivalent document by the Seller.
In Quebec, for purchases made remotely, the merchant must send the customer a copy of the contract within 15 days of the purchase. The order confirmation or the summary email sent to the Customer fulfills this contractual information requirement.
The Seller reserves the right to refuse, suspend, or cancel an order in the following cases:
- suspicion of fraud;
- payment anomaly;
- Clearly erroneous or incomplete information;
- exceptional unavailability of the product;
- abusive or improper use of the Site.
In the event of cancellation after payment, the Customer will be refunded using the original payment method, subject to applicable processing times.
Article 6 — Payment
Payment is due at the time of ordering, according to the payment methods used.
By confirming their order, the Customer guarantees that they are fully authorized to use the chosen payment method.
Payment processing may be handled by secure third-party providers. The Seller does not necessarily store all of the Customer's complete bank details on its own systems when these are processed by an external payment provider.
The Seller reserves the right to conduct any reasonably necessary verification before final acceptance of an order.
Article 7 — Product Availability
Products are offered subject to available stock or the Seller's reasonably accessible supply capacity.
If, after an order has been placed, a product becomes completely unavailable, the Seller will inform the Customer as soon as possible and will offer, as appropriate :
- a refund for the unavailable product;
- an equivalent solution, if the Customer expressly accepts it;
- or partial or total cancellation of the order, depending on the situation.
Article 8 — Shipping and Delivery
The store's shipping and delivery conditions are detailed in Novera's Shipping and Delivery Policy, which supplements these Terms and Conditions.
Generally:
- Orders are processed as quickly as possible after payment confirmation;
- delivery times indicated on the Website are estimates;
- deliveries are made to the address provided by the Customer when placing the order;
- it is the Customer's responsibility to verify the complete accuracy of this address before validation.
The Seller cannot be held liable for any delay or inability to deliver resulting from an incorrect, incomplete, or unusable address provided by the Customer.
In Quebec, the merchant must respect the agreement made with the customer regarding the delivery date of goods sold remotely. The consumer may, in certain cases provided for by law, terminate the contract if the goods are not received within 30 days of the date specified in the contract, or within 30 days of the contract's conclusion if no date or deadline is specified. Nothing in these Terms and Conditions limits these mandatory rights.
Article 9 — Order Receipt
The Customer is advised to inspect their order upon receipt.
In the event of a damaged, clearly defective, missing, or non-conforming product, the Customer must contact customer service as soon as possible at the following address: supportnovera@gmail.com
The Customer is asked to provide all relevant information to facilitate the prompt processing of their request, including:
- their order number;
- a description of the problem;
- clear photographs of the package and the product in question, if applicable.
Article 10 — Cancellation, Returns, and Refunds
The conditions applicable to cancellation, return, and refund requests are governed by Novera's Return and Refund Policy, which forms an integral part of the store's contractual environment.
Unless otherwise required by mandatory law or with the Seller's express agreement, a confirmed order cannot be automatically cancelled after it has been registered.
Any cancellation request before shipment may be reviewed on a case-by-case basis, without any guarantee of acceptance.
Once the order has been shipped, all requests are subject to the applicable return policy.
Article 11 — Legal Guarantees
Products sold by Novera are covered by the guarantees provided by applicable laws, including, where applicable, the legal guarantees recognized under Quebec law.
The merchant is legally obligated to guarantee the goods they sell and cannot require the consumer to contact the manufacturer first. The legal guarantee may cover, in particular, the fact that goods must be fit for normal use for a reasonable period, taking into account, among other things, the price paid, the terms of the contract, and the conditions of use of the goods.
Any additional commercial guarantee offered by the Seller is in addition to, where applicable, the legal guarantees and does not replace them.
Article 12 — Liability
The Seller will take reasonable steps to ensure the proper functioning of the Website, the general accuracy of the information published, and the proper execution of orders.
However, the Seller shall not be liable, to the fullest extent permitted by law, for indirect, incidental, special, or consequential damages related to the use of the Website or the purchase of products.
In particular, the Seller shall not be liable for :
- a temporary interruption of the Website;
- a technical malfunction beyond its control;
- misuse of the product by the Customer;
- a loss resulting from improper use;
- of a delay attributable to a carrier or to an external event reasonably beyond their control.
Nothing in these Terms and Conditions shall exclude or limit any mandatory rights granted to the consumer by applicable law.
Article 13 — Force Majeure
The Seller shall not be liable for the total or partial non-performance of its obligations when such non-performance results from an event beyond its reasonable control, including but not limited to natural disasters, labor disputes, major logistical disruptions, widespread outages, service interruptions, war, pandemics, administrative decisions, or any other event of force majeure as defined by applicable law.
Article 14 — Intellectual Property
All elements present on the Website, including but not limited to text, logos, trademarks, images, photographs, graphics, visuals, videos, design elements, the Website structure, and the Novera brand identity, are protected by applicable intellectual property laws.
Any reproduction, adaptation, distribution, display, exploitation, or use, in whole or in part, without the Seller's prior written authorization, is strictly prohibited.
Article 15 — Personal Data
Personal information collected during the ordering process, while browsing the Site, or during customer relations is processed in accordance with Novera's Privacy Policy.
Customers are encouraged to review this policy to understand how their personal information is collected, used, disclosed, stored, and protected.
Article 16 — Links to Third-Party Sites
The Site may contain links to websites, platforms, or services operated by third parties.
The Seller has no control over these external resources and cannot be held liable for their content, availability, terms of use, or privacy practices.
Access to these third-party sites is at the Customer's sole risk.
Article 17 — Modification of the Terms and Conditions
The Seller reserves the right to modify these Terms and Conditions at any time to reflect changes in its business, services, commercial practices, or applicable legal requirements.
The Terms and Conditions applicable to an order are those in effect on the date of that order.
The most recent version is published on the Website with its update date.
Article 18 — Applicable Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the Province of Quebec and the applicable laws of Canada, subject to any mandatory provisions more favorable to the consumer.
In the event of a dispute, the Customer is encouraged to first contact Novera's customer service department to seek an amicable solution.
If an amicable solution cannot be reached, any legal action may be taken before the competent courts, in accordance with the applicable rules.

Article 20 — Acceptance
The Customer acknowledges having read these Terms and Conditions before validating their order.
